New Hurdle for ZIM–Hapag-Lloyd Sale: Revised $4.2 Billion Deal Faces Fresh Israeli Review

Israel's Government Companies Authority closed its review of the original ZIM sale structure on 29 September. The deal is not cancelled; a revised offer needs a new approval process.

Original Structure Out, Deal Not Cancelled

The planned sale of ZIM Integrated Shipping Services to Hapag-Lloyd is back at the approval stage. On 29 September Israel’s Government Companies Authority ended its review of the deal’s original structure. The authority did not reject the transaction; instead, the application for the original structure is no longer valid, and any materially revised structure requires a new application and a fresh approval process, FreshPlaza reported.

On 30 September ZIM disclosed that Hapag-Lloyd intends to submit a revised proposal and seek approval from the Government Companies Authority and the State of Israel.

The Deal in Brief

Hapag-Lloyd agreed in February to acquire ZIM in a transaction valued at about $4.2 billion. Under the structure, ZIM’s international operations would join Hapag-Lloyd, while a separate Israeli company under the control of the investment firm FIMI would serve Israel’s strategic shipping needs. The Israeli state holds a “golden share” in ZIM, and the government review is required under the conditions attached to it.

How Opposition Built Up

In July Israel’s Defense Ministry said the transaction did not adequately safeguard the country’s security interests, joining objections from the Agriculture, Economy and Transportation ministries and the Israel Shipping Authority, The Maritime Executive reported at the time. In late September Hapag-Lloyd and FIMI said they would submit revised terms intended to address those concerns, but had not yet provided the required documentation, FreshPlaza reported. The closure of the review of the original structure means those revisions will be assessed through a new process rather than as amendments to the old one.

What Happens Next

According to FreshPlaza, the deadline for satisfying the deal’s conditions is February 2027, extendable to June 2027 if the authority’s approval is the only remaining condition. For charterers, shippers and other counterparties of ZIM, the transaction should currently be treated as neither approved nor cancelled: the outcome depends on whether a revised structure is filed and cleared within that window.
